Terms and Conditions
Welcome to OmniPro. These Terms and Conditions ("Terms") govern your access to and use of the OmniPro recruitment workspace, database, and related services (collectively, the "Service").
OmniPro is a trading name of Declarative Software Ltd, a company registered in England and Wales ("Company", "we", "us", or "our"). By registering for an account, accessing, or using the Service, you ("Customer", "you") agree to be bound by these Terms.
1. The Service and Salesforce Platform
1.1 OEM Architecture. The Service is built and hosted on the Salesforce.com platform ("Salesforce") as an Original Equipment Manufacturer (OEM) application. By using OmniPro, you acknowledge that the underlying infrastructure is provided by Salesforce.
1.2 Salesforce Master Subscription Agreement. Your use of the Service is also subject to the applicable provisions of the Salesforce Master Subscription Agreement. We will pass through any warranties or protections provided by Salesforce to the extent permitted.
1.3 Uptime & Maintenance. While we strive for 99.9% uptime, access to the Service relies on Salesforce infrastructure. We are not liable for downtime caused by Salesforce scheduled maintenance, outages, or force majeure events.
2. License and Acceptable Use
2.1 License Grant. Subject to your payment of applicable fees and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service and the OmniPro Global Talent Pool strictly for your internal business recruitment purposes.
2.2 Restrictions. You shall not:
- Use automated scripts, bots, or scrapers to extract, download, or harvest data from the 840M profile database.
- Resell, sublicense, or distribute the data obtained from the Service to third parties outside of standard recruitment operations (e.g., presenting candidates to your clients).
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Share login credentials. Each user account must be strictly assigned to one named individual.
3. Data Privacy and Security
3.1 Compliance. Both parties agree to comply with all applicable data protection laws, including the UK GDPR and EU GDPR.
3.2 Customer Data. You retain all ownership rights to the specific client and candidate data you manually input, import, or generate within your dedicated workspace.
3.3 OmniPro Database. The 840M profiles provided within the Global Talent Pool are sourced from publicly available information and proprietary partnerships. We act as a Data Controller for this core database, and you act as an independent Data Controller when you extract and process specific candidate data for your recruitment purposes.
4. Fees and Payment
4.1 Subscriptions. The Service is billed on a subscription basis. Fees are non-refundable except as expressly provided in these Terms.
4.2 Free Trials. If you register for a free trial, you will have access to the Service for the specified trial period. At the end of the trial, your access will be suspended unless you upgrade to a paid subscription.
5. Termination
5.1 Termination for Cause. We reserve the right to immediately suspend or terminate your access to the Service if you breach these Terms, particularly regarding data scraping or credential sharing.
5.2 Effect of Termination. Upon termination, your right to use the Service immediately ceases. We will allow you a 30-day window to export your proprietary CRM data (excluding the raw OmniPro Global Talent Pool data) before it is permanently deleted.
6. Limitation of Liability
6.1 "As Is" Basis. The Service and the data within the Global Talent Pool are provided "as is" and "as available". We do not warrant that the Service will be error-free or that the profile data is 100% accurate, complete, or current.
6.2 Cap on Liability. To the maximum extent permitted by law, Declarative Software Ltd's total aggregate liability arising out of or related to these Terms shall not exceed the total amount paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim.
7. General Provisions
7.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
7.2 Amendments. We may update these Terms from time to time. We will notify you of any material changes via email or a notification within the Service.
